Terms of Service — ChimerAI

1. About ChimerAI

ChimerAI is a command-line tool and code generator (“the Software”) that scaffolds production-ready AI applications. ChimerAI is a developer tool — not a hosted service. All generated code runs on your own infrastructure.

2. License

The ChimerAI CLI is proprietary software. The code generated by ChimerAI for your project is yours and released under the MIT License, with no attribution required. Enterprise and Enterprise Pro purchases grant paid access to additional gated components, activations, updates, and support as described on the License page.

3. Intellectual Property

ChimerAI — including the Software, documentation, branding, trademarks, and underlying source code — remains our exclusive intellectual property. Nothing in these Terms transfers ownership of the Software itself to you; you receive only the license described in Section 2.

4. Disclaimer of Warranties

The Software is provided “as is” without warranty of any kind, express or implied. ChimerAI does not guarantee that the generated code is free of errors, security vulnerabilities, or fit for any particular purpose. You are responsible for reviewing, testing, and securing all generated code before deploying to production.

5. Limitation of Liability

To the maximum extent permitted by applicable law, ChimerAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software or generated code — including but not limited to loss of profits, data, or business opportunities.

6. Payments & Refunds

Enterprise licenses are sold as one-time purchases via Paddle.com Market Ltd. (our Merchant of Record). We offer a 14-day money-back guarantee, no questions asked. After the refund period, purchases are final. Refunds are processed within 5–10 business days. Paddle’s own terms and policies govern payment processing, invoicing, and applicable taxes; in case of conflict on these points, Paddle’s terms take precedence.

7. License Keys

License keys are issued per purchase and may not be shared, resold, or transferred without written permission. Each key may be activated on the number of machines specified by the purchased tier (3 for Enterprise, 5 for Enterprise Pro).

8. Termination

We reserve the right to suspend or terminate license activations in cases of fraud, chargebacks, unauthorized license sharing, or other material violations of these Terms.

9. Updates

Enterprise licenses include 1 year of updates from the date of purchase. After 1 year, the Software continues to function — you will simply no longer receive new component releases without renewing.

10. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law rules. Any disputes shall be subject to the exclusive jurisdiction of the courts of Regensburg, Germany. If you are a consumer within the EU, mandatory consumer protection provisions of your country of residence remain unaffected.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Software after changes become effective constitutes acceptance of the updated Terms. The “Last updated” date above reflects the most recent revision.
